Terms of Service

Effective date: March 30, 2026

These Terms of Service govern your access to and use of the LendPipe platform and related services. By accessing or using LendPipe, you agree to be bound by these terms on behalf of yourself and the financial institution you represent.

The agreement

"LendPipe," "we," "us," or "our" refers to the company operating this platform. "Customer" refers to the financial institution (bank, credit union, or lending organization) that has subscribed to use LendPipe. "User" refers to the individuals authorized by the Customer to access the platform.

If your institution has entered into a separate written agreement with LendPipe, that agreement takes precedence over these terms where they conflict.

The service

LendPipe provides an AI-powered platform for automating commercial credit analysis workflows — including document classification, financial spreading, risk screening, and credit memo generation.

The platform is intended for use by trained lending professionals at regulated financial institutions. LendPipe outputs are analytical aids and do not constitute credit decisions, underwriting recommendations, or legal or financial advice. Final credit decisions remain the responsibility of the Customer's qualified personnel.

Access and accounts

Access to LendPipe is provided on a per-organization basis. Customers are responsible for managing user access within their organization, including inviting users, assigning roles, and revoking access when users leave.

Users must keep their credentials confidential and are responsible for all activity under their account. Notify us immediately at hello@lendpipe.ai if you suspect unauthorized access.

Acceptable use

You may use LendPipe only for lawful credit analysis and lending workflow purposes within your institution. You agree not to:

  • Share access credentials or provide platform access to individuals outside your organization
  • Use the platform to process data for any institution other than your own without authorization
  • Attempt to reverse-engineer, scrape, or extract underlying models or data structures
  • Use platform outputs to train, build, or improve competing AI or software systems
  • Upload content that violates applicable law or the privacy rights of third parties
  • Interfere with the platform's operation or attempt to gain unauthorized access

Your data

You retain ownership of all documents, financial data, and other content you upload to LendPipe ("Customer Content"). You grant LendPipe a limited license to process Customer Content solely to provide the services described in these terms.

LendPipe will not use Customer Content to train AI models, sell data to third parties, or access it for any purpose other than delivering the service to you.

You represent that you have all necessary rights and permissions to upload Customer Content to LendPipe, including any borrower data subject to privacy or financial regulations.

Intellectual property

LendPipe and its licensors own all rights to the platform, including underlying software, models, interfaces, and documentation. These terms do not transfer any ownership rights to you.

Platform outputs (spread data, generated memos, risk summaries) produced from your Customer Content are yours to use for your institution's lending operations.

Confidentiality

Each party agrees to keep the other's confidential information private and use it only as necessary to fulfill obligations under these terms. Customer Content is considered the Customer's confidential information. LendPipe's pricing, product roadmap, and proprietary technology are LendPipe's confidential information.

Disclaimers

LendPipe is provided "as is." We make no warranties, express or implied, regarding the accuracy, completeness, or fitness of platform outputs for any particular purpose.

AI-generated outputs, including financial spreads and credit memos, may contain errors. All outputs must be reviewed and validated by qualified lending professionals before being used in credit decisions. LendPipe is not responsible for decisions made based on platform outputs.

Limitation of liability

To the maximum extent permitted by law, LendPipe's total liability arising from or related to these terms or the service will not exceed the amounts paid by the Customer in the twelve months preceding the claim.

Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility.

Indemnification

You agree to indemnify and hold LendPipe harmless from claims, losses, and expenses (including reasonable legal fees) arising from your violation of these terms, your Customer Content, or your use of the platform in a manner that infringes third-party rights or violates applicable law.

Term and termination

These terms apply for as long as the Customer maintains an active account. Either party may terminate by providing written notice. LendPipe may suspend or terminate access immediately if a Customer materially breaches these terms.

Upon termination, Customer's access to the platform will cease and LendPipe will make Customer Content available for export for a reasonable period before deletion.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to jurisdiction there.

Changes to these terms

We may update these terms from time to time. For material changes, we will notify Customers at least 30 days in advance via email or an in-platform notice. Continued use after the effective date constitutes acceptance. If you do not agree to the updated terms, you may terminate your account before the effective date.
